Section 01
By accessing or using any services provided by Jwood Technologies ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you and Jwood Technologies. Please read them carefully before engaging our services.
Section 02
Jwood Technologies provides technology consulting, software development, automation systems, data analytics, brand and creative systems, and infrastructure services. The specific scope of services for each engagement is defined in a separate Statement of Work or Service Agreement.
We reserve the right to modify, suspend, or discontinue any service at our discretion with reasonable notice to affected clients.

You agree not to use our services in any way that:
We reserve the right to terminate services immediately upon discovery of any prohibited use.
Section 04
Upon full payment for services rendered, all custom deliverables created specifically for your engagement are assigned to you. Jwood Technologies retains ownership of all pre-existing tools, frameworks, methodologies, and general-purpose code libraries used in delivering services.
You grant us a limited license to use your materials, brand assets, and information solely as necessary to perform the agreed services.
Section 05
Both parties agree to maintain the confidentiality of non-public information disclosed during the engagement. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.
This obligation survives termination of any service agreement for a period of three (3) years.
Section 06
Payment terms are defined in each individual service agreement or Statement of Work. Unless otherwise agreed, invoices are due within thirty (30) days of issuance. Late payments may incur interest at 1.5% per month.
We reserve the right to suspend work on any engagement where invoices are outstanding beyond agreed payment terms.
Section 07
To the maximum extent permitted by law, Jwood Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.
Section 08
Either party may terminate an engagement by providing written notice as specified in the applicable service agreement. Upon termination, you are responsible for payment of all services rendered through the termination date.
Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, confidentiality, and limitation of liability.
Section 09
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the applicable courts.
The parties agree to attempt to resolve any dispute informally before initiating formal legal proceedings.
Section 10
We may update these Terms from time to time. Material changes will be communicated to active clients with reasonable notice. Continued use of our services following notification of changes constitutes acceptance of the updated Terms.
